Partner & Referral Terms
These terms govern Firmato referral and commercial partner programmes. Participation does not create agency, representation or authority to bind UESE unless expressly agreed in writing.
1. Admission and referral code
UESE may approve, reject or end participation using reasonable criteria. A unique code/link may be assigned. Attribution follows the disclosed technical rules and may be excluded for pre-existing accounts, self-referrals or abuse.
2. Communications obligations
Partners must present Firmato accurately and consistently with approved materials. They may not claim UESE is a QTSP unless true, guarantee legal outcomes, change prices/terms, misuse EU symbols or create websites likely to be confused with official Firmato properties.
3. Marketing and privacy
Partners are responsible for the lawfulness of their outreach and databases. Spam, unlawfully obtained lists, pretexting and aggressive practices are prohibited. Processing data on behalf of UESE requires prior authorisation and an appropriate privacy agreement.
4. Commissions
Unless a specific agreement states otherwise, commission accrues on validly attributed net amounts actually received and not refunded. VAT/taxes, refunds, chargebacks, promotional credit and unpaid amounts may be excluded according to the commission plan.
5. Statements and payment
Where provided, Firmato displays conversion and commission statements. Payment may depend on a minimum threshold, identity/tax verification and required documentation. Partners are responsible for accurate tax details.
6. Clawbacks and adjustments
UESE may adjust commission for refunds, fraud, duplication, failed payments or attribution errors. Adjustments must be traceable and may be disputed through the applicable channel.
7. No representation
The Partner is an independent contractor and may not incur obligations, collect money, give warranties or sign contracts in UESE’s name without written authority.
8. Ethics, anti-bribery and sanctions
Partners comply with applicable anti-bribery, competition and economic sanctions rules. Improper payments, undisclosed benefits and incentives intended to unlawfully influence purchasing decisions are prohibited.
9. Term and termination
Either party may end participation according to the applicable agreement. Termination stops new attribution but does not remove commission already finally accrued, subject to fraud, chargeback or agreed adjustment rules.
10. Confidentiality and IP
Non-public materials, dashboards, price lists and commercial information are confidential. Use of the Firmato brand is limited to authorised purposes and ends with the programme.
11. Versioning, precedence and evidence retention
Firmato records the version made available and, where the application flow provides for acceptance, the corresponding acceptance evidence including date, account and technical audit information. Material changes may require renewed acknowledgement or acceptance. Language and country are separate variables: language determines the linguistic version, while country determines the applicable national supplement.
